• Certificate upload for custom digital signatures (Pro plans)
• API access for integration (Pro plans)

Our Service provides electronic signature technology. We enable you to sign documents electronically, but we do not provide legal advice about the content of documents, and we are not responsible for the legal validity of the underlying documents themselves.

3. Electronic Signature Validity

IMPORTANT: Electronic signatures provided through our Service are legally binding and enforceable in most jurisdictions, including the United States, under laws such as the ESIGN Act and UETA.

However, certain types of documents may not be suitable for electronic signatures, including:

• Wills, codicils, and testamentary trusts
• Documents related to family law (adoption, divorce, etc.) in some jurisdictions
• Court orders and official court documents
• Notices of cancellation of utility services
• Documents required to accompany transportation of hazardous materials

4. Limitations of Service

You acknowledge and agree that:

• Document Content: We are not responsible for the content, accuracy, or legal validity of documents you upload or sign through our Service. You are solely responsible for the documents you use with our Service.
• No Legal Advice: Our Service provides electronic signature technology only. We do not provide legal advice about document content, legal validity, or enforceability.
• Compliance: You are responsible for ensuring that your use of electronic signatures complies with applicable laws in your jurisdiction.
• Technical Limitations: While we strive for 99.9% uptime, our Service may experience downtime, interruptions, or technical issues.
• User Responsibility: You are responsible for ensuring that all parties to a document have consented to electronic signing and that electronic signatures are appropriate for your use case.
• Third-Party Services: Our Service may integrate with third-party services. We are not responsible for the availability or functionality of third-party services.

5. Limitation of Liability

• Your use or inability to use our Service
• Any documents you upload, sign, or store through our Service
• Any errors, omissions, or inaccuracies in documents signed through our Service
• Any legal consequences, disputes, or losses arising from documents signed through our Service
• Any unauthorized access to or use of our servers or your data
• Any interruption or cessation of transmission to or from our Service
• Any bugs, viruses, or other harmful code that may be transmitted through our Service

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE USE OF OUR SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.

You agree to indemnify, defend, and hold harmless SignPaw, its officers, directors, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

• Your use of our Service
• Any documents you upload, sign, or store through our Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any legal consequences, disputes, or losses arising from documents signed through our Service
• Any claims that electronic signatures obtained through our Service are invalid or unenforceable

7. User Accounts and Responsibilities

7.1 Account Creation

To use our Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

• Reverse engineer, decompile, or disassemble our Service
• Resell or redistribute our Service without authorization
• Upload malicious code, viruses, or harmful content

9. Subscription and Payment

9.1 Subscription Plans

We offer various subscription plans with different features and usage limits. Our Free plan allows basic e-signature functionality, while Pro plans ($29/month) include advanced features such as bulk sending, custom branding, certificate upload, and API access. Enterprise plans are available for larger organizations.

9.2 Payment Terms

• You agree to pay all fees associated with your subscription
• Fees are non-refundable except as required by law or as stated in our refund policy
• We may change our pricing with 30 days' notice
• If payment fails, we may suspend or terminate your account
• You are responsible for any taxes applicable to your use of our Service

9.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will continue to have access to the Service until the end of your paid period. After cancellation, you may continue to access signed documents but may lose access to certain features.

10. Intellectual Property

10.1 Our Content

All content, features, and functionality of our Service, including but not limited to text, graphics, logos, software, and technology, are owned by SignPaw or its licensors and are protected by copyright, trademark, and other intellectual property laws.

10.2 Your Documents

You retain ownership of documents you upload and sign through our Service. However, by using our Service, you grant us a license to:

• Store and process your documents to provide the Service
• Generate electronic signatures and audit trails
• Comply with legal obligations

We do not claim ownership of your documents, and we will not use your documents for purposes other than providing and improving our Service.

11. Document Storage and Security

We provide secure storage for documents you upload and sign through our Service. However:

• You are responsible for maintaining backups of important documents
• We may delete documents after a period of inactivity or account closure, as specified in our data retention policy
• We implement industry-standard security measures, but cannot guarantee absolute security
• You are responsible for ensuring that documents you upload do not contain sensitive information that should not be stored in our system
